Terms of Use

These Terms of Use (“Terms”) govern your use of the gopivotsolutions.com website and associated sites, related mobile applications, content and services (collectively, the “Site”), as well as any fitness video libraries, accompanying documentation, and email or other correspondence (“Materials”) sent to you by or on behalf of GoPivot Solutions, LLC (“GoPivot,” “we,” “us,” or “our”) or its agents, and constitute an agreement between you and GoPivot.

Your use of the Site and Materials is conditioned upon your acceptance of, and continued adherence to, these Terms. If you do not wish to be bound by these Terms, do not accept them and discontinue using and accessing the Site and any Materials immediately.

GoPivot may modify these Terms and the Site or Materials at any time. Material modifications will be effective upon our posting of the new Terms and implementation of the changes on the Site; where required by law, we will also provide notice of material changes through the Site or by other reasonable means. You agree to review these Terms periodically so that you are aware of any modifications. Your continued use of the Site or Materials after any modification indicates your acceptance of the modified Terms, Site, and/or Materials.

Certain users of the Site and Materials are employed by or otherwise affiliated with organizations that have executed a written, signed agreement with GoPivot regarding such use (each, an “Employer”). In such case, these Terms do not change or alter that agreement. In the event of any express conflict between the terms of the written agreement and these Terms, the terms of the written agreement shall control. Your rights to use the Site and Materials will end upon termination of the written agreement.

PLEASE READ CAREFULLY: BINDING ARBITRATION AND CLASS-ACTION WAIVER

These Terms require the use of binding individual arbitration to resolve disputes and limit the remedies available to you in the event of a dispute. You waive your right to a trial by jury and your right to participate in a class action, class arbitration, or representative action, except as provided in the “Governing Law & Dispute Resolution” section below. You have the right to opt out of arbitration within 30 days as described in that section.

1. Member ID and Password

Access to certain parts of the Site is limited to registered members and requires a username and password. Only one individual may access the Site at the same time using the same username and password. You represent and warrant that all user information you provide to GoPivot in connection with obtaining a username and password is accurate and complete. If your user information changes, you will promptly provide GoPivot with updated information.

You are solely responsible in all respects for: (a) all use of the Site made using your username and password; and (b) maintaining the confidentiality of your username and password. You agree to notify us immediately of any unauthorized use of your email address, username, or password or any other breach of security regarding the Site of which you are aware. Do not share your password with anyone. If you know or suspect that your username or password has been compromised, change your password immediately.

2. Health and Exercise Disclaimers

We urge you to consult your physician or other health care professional before starting this or any other fitness program to determine if it is right for your needs. This is particularly true if you (or your family) have a history of high blood pressure or heart disease, or if you have ever experienced chest pain when exercising or have experienced chest pain in the past month when not engaged in physical activity, smoke, have high cholesterol, are obese, or have a bone or joint problem that could be made worse by a change in physical activity. Do not start this fitness program if your physician or health care provider advises against it.

You should warm up for a few minutes prior to starting any workout program. Always exercise at a level at which you feel comfortable. If you experience discomfort, faintness, dizziness, pain, or shortness of breath at any time while exercising, stop immediately.

The recommendations, instructions, and advice contained in the Site and/or Materials are in no way intended to replace or to be construed as medical advice, diagnosis, or treatment, and are offered for informational purposes only. If you have any concerns or questions about your health, you should always consult with a physician or other health care professional. Do not disregard, avoid, or delay obtaining medical or health-related advice from your health care professional because of content on the Site or Materials. The use of any information provided on the Site and in any Materials is solely at your own risk.

Developments in medical research may impact the health, fitness, and nutritional information that appear here. No assurance can be given that the information contained on the Site or in the Materials will always include the most recent findings or developments with respect to the particular material.

You acknowledge that there is a risk of injury associated with any exercise activity, which may range from a minor injury up to death. Always use safe techniques and protective equipment when engaging in exercise. GoPivot will try to provide you with safe and effective exercise methods and techniques; however, we cannot guarantee that injuries will not occur. If you are unfamiliar with, or do not understand, the proper techniques and/or use of equipment for the exercises you intend to perform, please seek professional advice and assistance before performing them. GoPivot is not responsible or liable for any injury that may result from improper use of its exercise programs. By using the Site and Materials, you agree to accept all risks associated with the programs provided to you and that you will not hold GoPivot liable for any injury or illness that may occur.

3. No Liability for Employers

You may be participating in the programs through the Site as part of a plan, policy, or benefit, or at the request or suggestion, of an Employer. You agree that the Employer and its affiliates are not responsible for this Site and/or Materials, the exercise or wellness programs, or the content contained therein, and shall not be liable in any way for any injury, illness, or other damage that may occur as a result of your participation in any of the programs or other use of the Site or Materials.

4. Privacy Policy

Protecting your privacy is important to us. Please consult our Privacy Policy to learn how we collect and treat your personal information. The Privacy Policy is incorporated into, and forms part of, these Terms.

5. Use of the Site

You may use the Site and Materials solely for your own personal benefit and may not use the Site and Materials for any commercial use or in support of any other person or entity, except as expressly authorized in a written agreement with GoPivot.

You are solely responsible for your actions and communications undertaken or transmitted using the Site. You agree that, to the best of your knowledge, any information you provide through the Site will be accurate and truthful.

You may not use the Site in the following manner and agree to indemnify GoPivot for any and all damages arising out of the following:

6. Public Forums

The Site may include message boards, chat areas, and other public forums (“Public Forums”). GoPivot or its designated agents may remove or alter any user-created content at any time for any reason. Public Forums are intended to serve as discussion centers for registered members. Information and content posted within these Public Forums may be provided by GoPivot staff, GoPivot’s outside contributors, or by users not connected with GoPivot, some of whom may employ anonymous usernames. GoPivot expressly disclaims all responsibility and endorsement and makes no representation as to the validity of any opinion, advice, information, or statement made or displayed in these forums by third parties, nor are we responsible for any errors or omissions in such postings, or for hyperlinks embedded in any messages.

Under no circumstances will we, our affiliates, suppliers, or agents be liable for any loss or damage caused by your reliance on information obtained through these Public Forums. The opinions expressed in these forums are solely the opinions of the participants and do not reflect the opinions of GoPivot.

By posting content to a Public Forum, you grant GoPivot a worldwide, non-exclusive, royalty-free, sublicensable, transferable, perpetual license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in any media, including for advertising or on social media, consistent with our Privacy Policy.

Monitoring. GoPivot has no obligation to monitor any of the content or postings on the Public Forums. However, you acknowledge and agree that GoPivot has the absolute right to monitor the same at our sole discretion. We reserve the right to alter, edit, refuse to post, or remove any postings or content, in whole or in part, for any reason and to disclose such materials and the circumstances surrounding their transmission to any third party in order to satisfy any applicable law, regulation, legal process, or governmental request and to protect ourselves, our clients, sponsors, users, and visitors. Materials posted and/or uploaded to the Public Forums may be subject to size and usage limitations. You are responsible for adhering to such limitations.

7. Intellectual Property

All text, video, audio, sound, graphics, software, information, and other content made available on the Site, Materials, emails, and other correspondence (collectively, “Content”), and the look and feel of the Site and such other materials, are protected by copyright, trademark, and other intellectual property laws, and are owned solely or licensed by GoPivot and its licensors. By using the Site, you are not acquiring any ownership or other rights to the Content, and you hereby disclaim any and all such ownership interests in the Content and Site. You agree to access the Site only through the interface that is provided by GoPivot for use in accessing the Site.

All Content is being licensed, and not sold, to you subject to these Terms. You are not entitled to copy, adapt, duplicate, publicly perform, sell, license, assign, or otherwise distribute any Content. Other methods by which Content is delivered to you may contain additional copyright or other notices, and your use thereof will be subject thereto.

GoPivot™; gopivotsolutions.com; Give Everyone a Reason to Change™; My Reason to Change™; FitScore™; FitIn™; and other of our slogans, phrases, marks, icons, and logos on the Site and in the Materials and Content are our trademarks or registered trademarks. All other trademarks, service marks, design marks, logos, and trade names on the Site and in the Materials and Content are trademarks or registered trademarks of their respective owners.

7.1 DMCA Copyright Policy

GoPivot respects the intellectual property of others and asks that users do the same. If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement and is accessible on the Site, please notify our designated Copyright Agent pursuant to the Digital Millennium Copyright Act (“DMCA”), 17 U.S.C. § 512(c)(3), by providing the following information in writing:

With respect to its own generated Content, GoPivot will endeavor to tell you when you are leaving the Site, but there may be instances when GoPivot is unable to do so. GoPivot is not responsible for the content, accuracy, or opinions expressed in other sites, and such sites are not investigated, monitored, or checked for accuracy or completeness by us. Inclusion of any link on the Site, in the Materials, or Content does not imply approval or endorsement of the linked site by us. If you decide to leave the Site and access these third-party sites, you do so at your own risk.

9. Limitations of Liability

TO THE MAXIMUM EXTENT ALLOWED BY LAW, IN NO EVENT WILL GOPIVOT BE LIABLE TO YOU, ANY OTHER PARTY TO THESE TERMS, OR ANY THIRD PERSON FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR ANY LOST PROFITS OR LOST DATA ARISING FROM YOUR USE OF THE SITE, MATERIALS, OR CONTENT, EVEN IF SUCH PARTY IS AWARE OR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, GOPIVOT’S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER, AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE GREATER OF (A) THE AMOUNT PAID, IF ANY, BY YOU TO GOPIVOT FOR YOUR USE OF OR ACCESS TO THE SITE THAT CAUSED THE DAMAGES, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

CERTAIN LAWS LIMIT OR DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS IN THESE TERMS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.

10. Indemnity

You agree to indemnify, defend, and hold harmless GoPivot and, if applicable, your Employer, and both their respective directors, officers, agents, contractors, partners, and employees from and against any damage, loss, liability, claim, or demand, including reasonable attorneys’ fees, arising out of any claim, action, investigation, or proceeding made or instituted by any third party due to or arising out of your use (and, if applicable, use by minor children under your subscription) of the Site and other Materials, or your breach of these Terms.

11. General Disclaimers

GoPivot does not warrant or covenant that the Site will be available at any time or from any particular location, will be secure or error-free, or that the Site or its Content or Materials are free of viruses or other potentially harmful components. GoPivot may at its sole discretion modify or suspend the features, availability, operation, and/or look and feel of the Site and other Materials from time to time without notice to you. GoPivot is not responsible for any incorrect, inaccurate, or misleading information or links provided on the Site or other Materials. GoPivot is also not responsible for any problems or technical malfunctions outside of GoPivot’s reasonable control, including outages in telephone/data network or lines and problems or traffic congestion on the Internet.

Under no circumstances will GoPivot be responsible for any loss or damage, including personal injury or death, resulting from anyone’s participation in the exercise programs, or other use of the Site or other Materials.

THE SITE AND OTHER MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” AND GOPIVOT DISCLAIMS ANY AND ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ARISING OUT OF A COURSE OF PERFORMANCE, COURSE OF DEALING, OR USAGE OF TRADE. GOPIVOT CANNOT GUARANTEE AND DOES NOT PROMISE ANY SPECIFIC RESULTS FROM USE OF THE SITE OR OTHER MATERIALS. YOUR PARTICIPATION IN THE PROGRAMS AND OTHER USE OF THE SITE AND OTHER MATERIALS IS AT YOUR OWN RISK.

12. Controversial Content

You understand and agree that by using the Site, Materials, and/or Content, you may be exposed to information that you find offensive, indecent, or objectionable, and that the Site, Materials, and/or Content may not be in accordance with the laws of your jurisdiction. You understand and acknowledge that GoPivot is not responsible for the content linked to by third parties on the Site.

13. Feedback

Any questions, comments, suggestions, ideas, feedback, or other information submitted to GoPivot (including through the Site, email, phone, or other correspondence) relating to modifying or improving the programs, the Site and/or its processes and underlying software, Content, or Materials (“Feedback”), provided by you to us, whether solicited or unsolicited, are non-confidential, and you hereby assign all rights to GoPivot to become our sole property. GoPivot shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of Feedback for any purpose, commercial or otherwise, without acknowledgment or compensation to you. In the event your jurisdiction does not allow intellectual property rights to be transferred as described above, you hereby grant GoPivot a worldwide, non-exclusive, royalty-free, perpetual license for the use of Feedback, and where perpetual license terms are not allowed by law, the term shall be for thirty (30) years.

14. International Use

Different countries have different laws and regulations. GoPivot makes no representations that the Site and other Materials are appropriate or legally available for use in locations outside the United States. If you are accessing the Site from jurisdictions where the Site may be illegal, you are solely responsible for complying with all local laws regarding acceptable use or interaction with the Site. By submitting any information to GoPivot (including through the Site, email, phone, or other correspondence), you understand and agree that you are transferring it from your country and submitting it to our servers in the United States.

15. Software Downloads and Export Controls

Software and related technologies that may be available in connection with the Site or other Materials are subject to United States export controls. No software or related technologies may be downloaded from the Site or other Materials, or links to the Site, or otherwise exported or re-exported in violation of United States export laws, including to (or to a national or resident of) any country subject to United States embargo, or to any person on the U.S. Treasury Department’s list of Specially Designated Nationals or the U.S. Commerce Department’s Denied Persons List or Entity List. By using the Site, you represent and warrant that you are not located in any such country and are not on any such list.

16. Governing Law & Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the substantive laws of the State of Georgia, U.S.A., without reference to conflict-of-laws provisions. The Federal Arbitration Act governs the interpretation and enforcement of the arbitration provision in Section 16.2.

16.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms, your use of the Site or Materials, or the relationship between you and GoPivot (a “Dispute”) shall be finally settled by binding arbitration in Atlanta, Georgia, in accordance with the then-current rules and procedures of the American Arbitration Association (“AAA”) by one (1) arbitrator appointed by the AAA. The arbitrator shall apply the law of the State of Georgia, without reference to rules of conflict of law or statutory rules of arbitration, to the merits of any Dispute. Judgment on the award rendered by the arbitrator may be confirmed, reduced to judgment, and entered in any court of competent jurisdiction. The arbitrator shall have the authority to award the prevailing party its costs and reasonable attorneys’ fees.

Informal resolution. Before initiating arbitration, you and GoPivot agree to attempt to resolve any Dispute informally for at least thirty (30) days. To initiate informal resolution, you must send a written notice describing the Dispute and your requested relief to GoPivot at the address in Section 19.

Class-action waiver. YOU AND GOPIVOT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of representative or class proceeding. If this class-action waiver is found to be unenforceable with respect to any particular claim, then that claim shall be severed and proceed in court, while all other claims shall continue in arbitration.

Exceptions. Notwithstanding the foregoing, either party may: (a) bring an individual action in a small-claims court for Disputes that qualify; (b) seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party’s copyrights, trademarks, trade secrets, patents, or other intellectual-property rights; and (c) file suit in court to address an intellectual-property-infringement claim.

Right to opt out of arbitration. You may opt out of this arbitration agreement by sending written notice of your decision to opt out to GoPivot at the address in Section 19, postmarked within thirty (30) days of first accepting these Terms. Your notice must include your name, address, email, and a clear statement that you wish to opt out of arbitration. If you opt out, these Terms will continue to apply, except that the arbitration provision and class-action waiver will not.

16.3 Court Proceedings

In the event the arbitration provision above is held invalid or unenforceable, or for any Dispute not subject to arbitration, any such Dispute shall be brought and heard either in the Georgia state courts located in Fulton County, Georgia, or the federal district court for the Northern District of Georgia located in Atlanta, Georgia. You consent to the in personam jurisdiction and venue of such courts. Service of process upon you may be made if delivered in person, by courier service, by email, or by first-class mail, and shall be deemed effectively given upon receipt.

GoPivot may terminate or suspend your access to the Site and other Materials at any time without notice if you breach any provision of these Terms. In the event of termination, those sections of these Terms which provide for continuing obligations on your part shall survive indefinitely.

18. Redemption Policies

Certain products or services may be redeemed on the Site. If you wish to redeem any of these products or services, you will be asked by GoPivot or an authorized third party to supply certain information, including your full name, address, telephone number, and email address. You agree to provide accurate, complete, and current information and to comply with the terms and conditions of any agreement governing your redemption. You shall be responsible for all redemptions incurred through your account.

To the extent that you receive points due to participation in a program, you understand and agree that the points have no monetary value and are subject to the terms and conditions in the written agreement between GoPivot and organizations that have executed a written, signed agreement with GoPivot regarding such use. Points may expire (for example, upon expiration or termination of the applicable program) or otherwise may not be redeemable under the terms of the written agreement, these Terms, or otherwise. GoPivot reserves the right to change the third-party vendors used for point redemption in such programs in its sole discretion, as well as the potential goods and services for which points may be redeemed.

20. Miscellaneous

You and GoPivot acknowledge and agree that no partnership, agency, joint venture, or employment relationship is formed between you and us by your use of the Site or other Materials, and neither you nor GoPivot has the power or authority to obligate or bind the other. These Terms, together with the Privacy Policy (incorporated by reference) and any other agreement you enter into as part of registering on the Site, set forth the entire agreement between you and GoPivot pertaining to your use of, and rights to, the Site, Content, and other Materials. If any provision of these Terms is held invalid or unenforceable, such provision shall be revised to the extent necessary to cure the invalidity or unenforceability, and the remainder of these Terms shall continue in full force and effect. Our failure to exercise any right or provision of these Terms shall not constitute a waiver of such right or provision. You may not assign these Terms or any of your rights or obligations under them; GoPivot may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets. If you do not agree to, or are unable to abide by, these Terms and any other agreement you enter into as part of visiting or registering on the Site, you have no right to access or use the Site or other Materials.
